Terms of service

Agreement

These terms apply to everyone who uses sanadak media, a service provided by sanadak LLC, a Wyoming limited liability company, 30 N Gould St Ste R, Sheridan, WY 82801, United States ("we", "us"). By using sanadak media you agree to them on behalf of yourself and the agency you work for. An agency's signed agreement or order form with us, where there is one, takes precedence over these terms where they differ.

The service

sanadak media is software for media agencies to receive briefs, plan, approve, buy, track and bill campaigns and manage their team. Connections to advertising platforms read campaign data and carry out campaign actions (pausing and resuming, budget and schedule changes, creating campaigns and ads) only when a signed-in user instructs them in the product, after the agency's approval rules. The agency is responsible for the actions its users take. Email connections (Gmail or Outlook) work only with the signed-in user's own work mailbox. Accounts and access

• Accounts are created by the agency for its own staff. The agency decides each person's role and is responsible for removing access when someone leaves.
• Keep your sign-in details private, use two-factor authentication where your agency asks for it, and tell us at once at hello@sanadak.co if you think someone else has used your account.
• You are responsible for what is done under your account.

Client approval links

Client contacts reach a plan through a signed link sent by the agency. Anyone holding the link can see that plan until the link expires, so it should be shared only with the people meant to decide. A decision made through the link is recorded with its time and IP address.

Your data

The agency owns the data it puts into sanadak media and the data read from its connected accounts. It gives us permission to host and process that data only to provide the service, as described in our privacy policy. We do not sell it or use it for any other purpose. The agency can ask for an export of its data at any time while its account is open.

Connected platforms

• You may connect only ad accounts and mailboxes you are authorised to use, and you confirm that you have the right, including any permission needed from your clients, to let sanadak media read them and act on them at your users' instruction.
• Your use of Meta, TikTok, Snapchat, Google (including Gmail and Google Workspace) and Microsoft (including Outlook and Microsoft 365) remains subject to their own terms and policies. We are not responsible for changes those platforms make to their services or to the data they make available.
• You can disconnect any account at any time in sanadak media or in the platform's own settings.

Acceptable use

Do not use sanadak media to break the law or another platform's terms, to access data you are not allowed to see, to send spam, to probe or disrupt the service or its security, or to copy or resell the software.

Fees

Fees, billing periods and payment terms are set in the agency's order form or agreement. Unless stated there, fees exclude taxes, which are added where the law requires.

Confidentiality

We treat the agency's plans, clients, prices and campaign data as confidential, and give access only to the people who run the service and need it to do so.

Availability and warranty

We work to keep the service available, secure and accurate, and we announce planned maintenance in advance where we can. The service is otherwise provided "as is". Figures marked as sample data are illustrative, and projections are estimates. Decisions about media spend remain the agency's.

Liability

To the extent the law allows, neither side is liable for indirect or consequential loss, or loss of profit, revenue or data, and our total liability for any claim is limited to the fees the agency paid for the service in the twelve months before the claim. Nothing in these terms limits liability that cannot be limited by law.

Suspension and ending

An agency may stop using sanadak media at the end of its current term, or as its agreement allows. We may suspend access that breaks these terms or puts the service or other customers at risk, and we will tell the agency why. When an account closes we delete its data within 30 days, after any export the agency asks for, except records the law requires us to keep.

Changes

We may update these terms. We will change the effective date above and tell agency administrators by email at least 30 days before a material change takes effect.

Governing law

These terms are governed by the laws of the State of Wyoming, United States, unless the agency's agreement with us says otherwise.
